Terms of service
These Terms of Sale govern the sale of goods through the INXL.STORE online store.
1. Seller

The online store operates under the INXL brand.
By placing an order, the Customer confirms that they have read, understood and agreed to be bound by these Terms of Sale.
2. Products and Orders
The website provides the main characteristics, price and availability of each product.
Product photographs and images are provided for illustrative purposes. Minor variations in colour, packaging, positioning of design elements or other details that do not materially affect the essential characteristics of the product shall not constitute a defect or lack of conformity.
By placing an order, the Customer submits an offer to purchase the selected products.
An automated order acknowledgement confirms only that the order has been received by the Seller and does not, by itself, constitute acceptance of the order.
A sales contract is concluded when the Seller expressly accepts the order or sends the Customer confirmation that the goods have been dispatched.
Prior to accepting an order, the Seller may refuse or cancel it, including where:
- the product is unavailable;
- an obvious pricing error has occurred;
- delivery to the specified destination is not possible;
- the payment has failed verification;
- there are reasonable grounds to suspect fraud, abuse or unauthorised use of payment details;
- fulfilment of the order would violate applicable law or mandatory restrictions.
If payment has already been received in respect of a cancelled order, the corresponding amount shall be refunded to the Customer.
For limited-edition products, the Seller may impose limits on the number of units that may be purchased by one Customer, household, address, order or payment method.
The Seller may cancel orders placed for the purpose of circumventing such limits or for apparent commercial resale of limited-edition products.
3. Prices and Payment
Prices are displayed on the website in the selected currency and include applicable taxes where required, unless expressly stated otherwise.
Delivery charges are shown separately before the Customer completes the order.
Payment may be made using the payment methods available on the website at the time the order is placed.
The Seller may change product prices at any time. Any such change shall not affect orders already accepted by the Seller.
In the event of an obvious technical error in the price or description of a product, the Seller may cancel the affected order and refund any payment received in full.
Banks, payment service providers and other payment intermediaries may apply their own fees, foreign-exchange conversions and exchange rates. Such fees and rates are not determined by the Seller.
4. Delivery, Customs and Import Charges
Delivery is available to the countries and regions shown as available during checkout.
Any delivery times stated on the website are estimates unless a specific delivery deadline has been expressly agreed with the Customer.
Delivery may be delayed as a result of circumstances including carrier operations, customs procedures, restrictions on international transportation, strikes, emergencies, armed conflicts, sanctions or other circumstances beyond the Seller's reasonable control.
If an order is returned to the Seller due to an incorrect or incomplete address, refusal of delivery, failure by the Customer to collect the shipment within the period specified by the carrier, or any other reason attributable to the Customer, the cost of reshipment shall be borne by the Customer.
The risk of accidental loss of or damage to goods purchased by a consumer passes to the consumer when the goods are physically received by the consumer or by a third party designated by the consumer, except where otherwise provided by applicable law.
Products included in the same order may be stored at different fulfilment locations. The Seller may therefore dispatch an order in multiple separate shipments at no additional delivery charge to the Customer, unless otherwise stated during checkout.
For orders delivered outside the European Union, the purchase price may exclude import VAT, customs duties, carrier clearance fees and other charges imposed in the country of destination.
Where such charges have not been collected during checkout, they shall be payable by the recipient.
Customers outside the European Union are responsible for complying with applicable import rules and restrictions in the country of destination.
5. Right of Withdrawal and Returns
Consumers purchasing goods at a distance within the European Union or the European Economic Area have the right to withdraw from the contract without giving any reason within 14 days, where such right is provided by applicable law.
To exercise the right of withdrawal, the Customer must notify the Seller before the applicable withdrawal period expires by using the withdrawal functionality provided on the website or by sending the Seller a clear and unequivocal statement by email.
Following notification of withdrawal, the goods must be returned to the Seller within the period prescribed by applicable law.
Where the Customer withdraws from the purchase of non-defective goods, the direct cost of returning the goods to the Seller shall be borne entirely by the Customer. The Seller does not provide free return shipping unless otherwise required by mandatory applicable law.
Where the right of withdrawal is validly exercised, the Seller shall refund the price paid for the goods together with the cost of the least expensive standard delivery method offered for the relevant order.
If the Customer selected a more expensive delivery method, the additional delivery cost shall not be refunded.
The Seller may withhold reimbursement until the returned goods have been received or until the Customer provides evidence that the goods have been sent back, whichever occurs first, to the extent permitted by applicable law.
The Customer shall be liable for any diminished value of the goods resulting from handling beyond what is necessary to establish the nature, characteristics and functioning of the goods.
The right of withdrawal shall not apply where an exemption is provided by applicable law, including, in particular:
- goods made to the Customer's specifications or clearly personalised;
- sealed audio recordings, sealed video recordings or sealed computer software where the seal has been broken after delivery;
- any other goods or services excluded from the right of withdrawal under applicable law.
The fact that a product is described as a limited edition or pre-order does not, by itself, exclude any mandatory right of withdrawal unless an applicable statutory exemption applies.
Where goods are defective, damaged or do not correspond to the order, their return shall not be treated as a standard withdrawal and shall instead be governed by the applicable mandatory consumer-protection rules.
6. Defective or Non-Conforming Goods
Goods must conform to the sales contract and to all applicable mandatory consumer-protection requirements.
Consumers are entitled to the statutory rights and remedies applicable to defective or non-conforming goods.
If the Customer receives an incorrect, damaged or defective product, the Customer should contact the Seller and provide the information reasonably necessary to assess the claim.
The Seller may request photographs of the product, its packaging and the shipping label where reasonably necessary to investigate the matter.
Repair, replacement, price reduction or reimbursement shall be provided where and to the extent required by applicable law.
Where the return results from a defect, an error by the Seller or a lack of conformity with the order, the Seller shall bear the return costs where required by mandatory applicable law.
7. Pre-Orders
Certain products may be offered for sale on a pre-order basis.
The estimated release date or estimated commencement of dispatch will be stated on the relevant product page.
The Customer acknowledges that the manufacture of physical music formats, apparel, collectables and other products may depend on manufacturers and other third parties and that estimated production, release or dispatch dates may therefore change.
A change to an estimated release or dispatch date shall not automatically result in cancellation of the order.
Where an order contains products with different availability dates, the entire order may be dispatched once the final product becomes available, unless otherwise stated during checkout.
Any mandatory consumer rights arising in the event of a material delay remain unaffected.
8. Liability
The Seller shall not be liable for delays or failure to perform its obligations resulting from circumstances beyond its reasonable control.
The Seller shall not be responsible for the independent acts or omissions of banks, payment service providers, customs authorities, postal operators, courier services or other independent third parties, except where liability is expressly imposed on the Seller by applicable law.
To the maximum extent permitted by law, the Seller shall not be liable for indirect or consequential losses, loss of profit or other indirect damages.
Nothing in these Terms of Sale excludes or limits any mandatory consumer right or any liability that cannot lawfully be excluded or limited by agreement.
9. Intellectual Property
The materials available on the website, including photographs, text, designs, logos, trade marks, names, artwork and other content, are owned by INXL or the respective rights holders and are used lawfully.
The purchase of a product does not transfer to the Customer any intellectual-property rights in music, sound recordings, photographs, artwork, designs, trade marks or other protected materials.
Commercial copying, reproduction, distribution or use of website materials without the permission of the relevant rights holder is prohibited.
10. Personal Data
The Seller processes personal data where necessary for order processing, payment, delivery, customer support, fraud prevention and compliance with legal obligations.
To the extent necessary for these purposes, personal data may be shared with payment service providers, banks, carriers, fulfilment providers, technology service providers and other parties involved in processing or fulfilling an order.
Communications necessary for order confirmation, payment, delivery or customer service are transactional communications.
Marketing communications are sent separately in accordance with applicable law and, where required, on the basis of the Customer's consent.

11. Governing Law and Disputes
These Terms of Sale and any sales contract concluded through INXL.STORE shall be governed by the laws of the Republic of Lithuania.
For consumers residing in the European Union or the European Economic Area, the choice of Lithuanian law shall not deprive the consumer of any mandatory protection afforded by applicable consumer-protection laws that cannot be derogated from by agreement.
For Customers located outside the European Union and the European Economic Area, Lithuanian law shall apply to the fullest extent permitted by mandatory applicable law.
The mere availability of international delivery does not mean that the Seller voluntarily assumes additional contractual obligations arising under the laws of the Customer's country where the application of such laws is not mandatory.
The parties shall first seek to resolve any dispute through direct written communication.
Where a dispute cannot be resolved amicably, it shall be submitted to the competent court in accordance with the applicable laws of the Republic of Lithuania and the European Union.
12. Amendments to These Terms
The Seller may amend these Terms of Sale from time to time.
Each order shall be governed by the version of the Terms of Sale in force at the time the relevant order was placed.
If any provision of these Terms of Sale is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
